How to Structure a Brand Ambassador Agreement

How to Structure a Brand Ambassador Agreement

A brand ambassador agreement sets out the deliverables, duration, fees, exclusivity, approvals, usage rights, disclosure, conduct and how either side can end it. Agree it in writing and take legal advice.

A brand ambassador agreement sets out what the ambassador will do, for how long, for what fee, with what exclusivity, how content is approved and used, how paid partnerships are disclosed, what conduct is expected and how either side can end the arrangement. Agreeing these points clearly in writing protects both the brand and the ambassador, and makes the partnership more likely to succeed.

For brands, artists, creators and public figures in Ghana, ambassador partnerships can be valuable, but unclear agreements often lead to disputes. This article sets out the points to consider; it is not legal advice, and both sides should take appropriate legal advice before signing.

Start with the objective and fit

Before discussing terms, agree why the partnership makes sense: the audience overlap, the shared values and what each side wants to achieve. See how to choose influencers for a brand campaign in Ghana and how artists can prepare for brand partnerships.

Key points to cover

Deliverables

List exactly what the ambassador provides: number and type of social posts, appearances, events, shoots, interviews and any other activity, with platforms and timing.

Duration

State the start and end dates and whether there is an option to renew.

Fees and payment

Set out the fee, any performance-related elements, payment schedule, expenses and taxes.

Exclusivity

Define whether the ambassador may work with competing brands, and if so which categories are restricted, for how long and where. Vague exclusivity clauses cause disputes; be specific.

Content approval

Agree how content is briefed, who approves it and how quickly. Respect the ambassador's creative voice while protecting accuracy and brand guidelines.

Usage rights

State how the brand may use content and the ambassador's name and image: channels, advertising, duration and territories. Clarify what happens to content when the agreement ends.

Disclosure

Agree that paid content will be clearly disclosed to audiences. Transparency protects both sides' credibility.

Conduct and reputation

Agree expectations on conduct and what happens if either side's actions seriously damage the other's reputation. Keep these clauses fair and specific.

Termination

Set out how and when either side can end the agreement, notice periods and what happens to fees and content.

Build the relationship

The best ambassador partnerships feel genuine because the ambassador actually uses and believes in the brand. Involve them in ideas, share results and treat the partnership as a relationship, not a transaction.

Measure the results

Agree measures before starting: reach, engagement, content performance, sales or sign-ups through trackable links and audience sentiment.
